INTRODUCTION
ABACUS GmbH (“WyldSociety”, the “Company”, “we”, “us”, “our”) offers its mobile application (the “App”) and related services, including but not limited to events, venues, and other personal interactions (collectively, the “Service”), subject to the following Terms and Conditions (as amended from time to time, the “Terms”). By submitting an application to WyldSociety, creating a WyldSociety account, RSVPing or attending an event, or otherwise using the Service in any form, you agree to these Terms and our Privacy Policy, which is incorporated herein by reference and available at [Privacy Policy URL]. We reserve the right to change or modify these Terms at any time in our sole discretion. Any changes will be indicated by the date of the latest version at the top of this page. Our Terms can always be found at [Terms URL]. Your continued use of the Service after the date such changes become effective constitutes your acceptance of the new Terms. You should regularly review this page for updates. If you do not accept and comply with all the Terms, please do not use the Service.
APPLICATION AND REGISTRATION PROCESS
To access the App, potential users must complete a brief application. Accepted users receive membership free of charge. While all applications are considered, we retain full control and discretion over who receives membership. Factors considered by our membership committee include the applicant's social media presence and connections with existing members and their potential engagement and enjoyment of the App. Applicants who are not granted access will be placed on a waiting list, which is continuously reviewed to admit additional applicants. By submitting an application, you agree to receive text messages, emails, and other notifications from us regarding the status of your application and other communications.
You must register with WyldSociety and provide certain information to activate a membership or access and use certain features of the Service. By registering, you agree to provide true, accurate, current, and complete information about yourself and to maintain and update this information. Registration data and certain other information about you are subject to our Privacy Policy.
Venues and service providers wishing to offer promotions must purchase a subscription. Payments automatically renew until canceled and are subject to the terms of the respective payment method. We reserve the right to change membership fees and other charges and to create additional tiers or types of membership. As we use third-party providers for payment processing, we do not have access to or store your payment information. Refunds are only offered under the conditions set forth in these Terms.
Upon joining the Service, you are responsible for maintaining the confidentiality of your password and account, ensuring the accuracy of your information, and all activities that occur under your account. You agree to notify WyldSociety immediately of any unauthorized use of your password or account or any other security breach, keep your information up-to-date and accurate, ensure you log out from your account at the end of each session, and implement necessary security measures on any device you use to access the Service. WyldSociety is not liable for any loss, injury, or damage arising from your failure to comply with this section.
TERMS OF USE
Legally Binding Agreement. These Terms constitute a legally binding agreement that you must accept to use the Service.
Eligibility.
You must be at least 18 years old to use the Service. By submitting an application, creating an account, RSVPing to an event, attending an event, or otherwise using the Service, you represent that you can enter into a binding contract with WyldSociety, that you are not prohibited from using the Service under applicable law, and that you will comply with these Terms and all applicable laws and regulations.
Term and Termination.
These Terms remain in full force and effect while you use the Service or have a WyldSociety account. As a user or member, you may terminate your account at any time for any reason by following the instructions in the App. WyldSociety may suspend or terminate your account or access to parts of the Service without notice for any reason, including lack of use or if WyldSociety believes you have violated these Terms or the ideals of membership. WyldSociety may also discontinue the Service or any part thereof. Upon termination, WyldSociety may delete your account and all related information and files. All membership fee payments are final and non-refundable.
User Interactions; Meetings; Events.
WyldSociety is not responsible for the conduct of any user or your experiences at events or venues you attend through the Service. Your use of the Service is at your own risk, and you are solely responsible for your interactions with others through the Service.
User Content.
You are solely responsible for the content you post on social media, Google, or Trustpilot in connection with WyldSociety. You may not post offensive, inaccurate, misleading, abusive, obscene, or illegal materials, or materials that violate the rights of others. WyldSociety reserves the right to remove members who violate these Terms or negatively impact the user experience or reputation of the Service.
Member Obligations.
Members are obligated to meet the requirements of venues when invited to events. This includes arriving on time, behaving appropriately, adhering to dress codes, and fulfilling agreed promotions. Violations of these obligations, including tardiness or inappropriate behavior, may result in account deletion and removal from WyldSociety.
Lawful Use
You agree to use our platform only for lawful purposes and in a manner that does not infringe the rights of or restrict or inhibit the use of the platform by any third party. This includes, but is not limited to, posting content that does not violate intellectual property rights, is not defamatory, obscene, or otherwise unlawful, and does not harass or harm other users.
Prohibited Activities.
WyldSociety reserves the right to investigate, suspend, or terminate your account if you misuse the Service or engage in inappropriate behavior, including activities outside the Service. Prohibited activities include, but are not limited to, posting prohibited content, disrupting the Service, violating laws, harassing others, and impersonating others.
Intellectual Property.
WyldSociety owns all proprietary rights in the Service and its content. You may not use any proprietary information or content without our prior written consent.
Third-Party Materials.
WyldSociety is not responsible for third-party content, including user content. We reserve the right to remove content that violates these Terms or is otherwise objectionable.
Use of Posted Material by Service Providers
By participating in WyldSociety events and posting content related to these events on Instagram or other social media, you grant the respective venue the right to use this content for marketing and promotional purposes. This includes, but is not limited to, the use of photos, videos, comments, and other materials created or posted during or after the event. Venues may use this content across various media and platforms without additional consent or compensation.
Third-Party Websites.
The Service may contain links to third-party websites or similar. WyldSociety is not responsible for these. Your dealings with third parties are solely between you and the third party.
Social Networks.
You can sign in to the Service through third-party services such as social networks. By signing in, you allow us to access certain information from these services, which we use according to our Privacy Policy. WyldSociety is not responsible for the accuracy or availability of information from third-party services.
Mobile Services.
The Service includes mobile services that may incur charges from your provider. WyldSociety is not responsible for these charges. By using the mobile services, you agree to receive communications from us and allow us to collect information about your usage.
No Support or Maintenance
You acknowledge and agree that WyldSociety is not obligated to provide you with support or maintenance in connection with the use of the platform or the Service. We cannot guarantee that our platform is free of viruses or other harmful codes that may affect your device. It is your responsibility to ensure your device is protected against such threats.
Push Notifications; Location-Based Features; Communication.
By using the Service, you agree to receive communications from us. You can disable push notifications in your device settings. The App may allow you to share your location, which is used in accordance with our Privacy Policy.
Disclaimers.
WyldSociety provides the Service "as is" without any warranties of any kind. We do not guarantee that the Service will meet your requirements or be uninterrupted, timely, secure, or error-free.
Limitation of Liability.
WyldSociety's liability is limited to fifty euros (50.00 €). We are not liable for indirect or consequential damages arising from your use of the Service.
Governing Law and Dispute Resolution.
These Terms are governed by the laws of the Federal Republic of Germany. Any disputes will be resolved amicably or by the courts in Germany. In case of doubt, the Terms and Privacy Policy will be interpreted in German.
General.
These Terms, along with our Privacy Policy, constitute the entire agreement between us and you regarding the use of our Service. If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
